Service Delivery

We will make reasonable efforts to deliver services as outlined in engagement agreements. However, service delivery may be affected by factors beyond our control, including client cooperation, access to information, and third-party dependencies. Timelines are estimates unless specified as firm deadlines in engagement agreements.

Client Cooperation

Effective service delivery requires client cooperation, including timely provision of information, access to relevant personnel, and reasonable responsiveness to communications. Delays in client cooperation may affect project timelines and outcomes.

Modifications to Scope

Changes to engagement scope must be documented through written amendments to the original engagement agreement. Additional fees may apply for scope expansions.

7. Payment Terms

Fees for consulting services are outlined in specific engagement agreements. Unless otherwise specified:

  • Fees are quoted in Canadian dollars (CAD)
  • Payment is due within 30 days of invoice date
  • Late payments may incur interest charges at a rate of 1.5% per month
  • We reserve the right to suspend services for overdue accounts

Fees quoted represent base engagement fees. Additional expenses incurred during service delivery (such as travel, if required and pre-approved) will be billed separately.

All fees are non-refundable once services have commenced, except as may be specified in individual engagement agreements.

8. Confidentiality

We recognize that client engagements often involve sensitive business and personal information. We maintain strict confidentiality regarding:

  • Client business information and strategies
  • Financial and operational data
  • Family business matters and succession discussions
  • Any information designated as confidential

Confidentiality obligations are formalized in specific engagement agreements and remain in effect following engagement completion.

Exceptions to confidentiality may occur when disclosure is required by law, regulation, or court order, or when necessary to enforce our rights under these terms.

Service Disclaimer

Our consulting services are provided based on information available at the time of engagement and our professional judgment. We make no guarantees regarding specific outcomes, results, or business performance following implementation of our recommendations.

Website Disclaimer

Our website and its content are provided "as is" without warranties of any kind, either express or implied. We do not warrant that the website will be uninterrupted, error-free, or free from viruses or other harmful components.

Not Legal or Financial Advice

10. Limitation of Liability

  • We shall not be liable for delays or failures due to circumstances beyond our reasonable control

These limitations apply regardless of the legal theory upon which liability is based and survive termination of any engagement.

11. Indemnification

You agree to indemnify and hold harmless Parvane, its consultants, and affiliates from any claims, damages, losses, or expenses (including legal fees) arising from your use of our services, violation of these terms, or infringement of any third-party rights.

12. Termination

Termination by Either Party

Either party may terminate a consulting engagement with written notice as specified in the engagement agreement. Fees for services rendered prior to termination remain due and payable.

Termination for Cause

We may immediately terminate services if you:

  • Fail to pay fees when due
  • Violate these Terms and Conditions
  • Engage in conduct that we reasonably believe may harm our reputation or violate laws

Effect of Termination

Upon termination, your right to use our services ceases. Provisions regarding confidentiality, intellectual property, payment obligations, and dispute resolution survive termination.

13. Governing Law and Dispute Resolution

Governing Law

These Terms and Conditions are governed by the laws of the Province of Quebec and the federal laws of Canada applicable therein, without regard to conflict of law principles.

Jurisdiction

Any disputes arising from these terms or our services shall be subject to the exclusive jurisdiction of the courts located in Quebec City, Quebec.

Informal Resolution

Before initiating formal legal proceedings, parties agree to attempt good faith resolution through direct discussion. Either party may initiate this process by providing written notice describing the dispute and proposed resolution.

Entire Agreement

These Terms and Conditions, together with any specific engagement agreements and our Privacy Policy, constitute the entire agreement between you and Parvane regarding use of our website and services.

Severability

If any provision of these terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

Waiver

Our failure to enforce any right or provision of these terms shall not constitute a waiver of such right or provision.

Assignment

You may not assign or transfer these terms or any rights granted hereunder without our prior written consent. We may assign these terms in connection with a merger, acquisition, or sale of assets.
